Please read these terms and conditions carefully before engaging with our services. By hiring or utilizing any of our services, you agree to the following terms and conditions:
1. Service Agreement
1.1. Scope of Work: The specific services to be provided will be outlined in a formal contract or project proposal, including the scope of the project, timelines, and pricing. 1.2. Project Changes: Any changes to the original project scope, including additional features or revisions, may result in a separate agreement and additional costs. 1.3. Third-Party Tools & Services: Any third-party services (such as hosting, domain registration, plugins, etc.) required for project completion will be outlined in the agreement. We are not responsible for any failures or downtime related to third-party services.
2. Client Responsibilities
2.1. Content Provision: The client is responsible for providing accurate and timely content (text, images, videos, etc.) required for the website’s development. 2.2. Feedback & Approval: The client must provide timely feedback and approvals at various stages of the project to ensure the agreed-upon timelines are met.
3. Payments & Fees
3.1. Payment Terms: A detailed payment schedule will be outlined in the project proposal. Typically, payments are divided into initial deposits, mid-project installments, and final payments upon project completion. 3.2. Late Payments: Payments not made by the due date may result in project delays or suspension of services. Late payments may also incur a fee. 3.3. Refunds: Due to the custom nature of website development, refunds are not provided once work has commenced. If the client decides to terminate the project early, any completed work will be billed according to the milestones achieved.
4. Timeline & Delivery
4.1. Project Timelines: While we strive to meet all deadlines, any delays caused by the client, such as late content submission or feedback, may impact the overall delivery timeline. 4.2. Launch Date: Upon completion and final approval, we will launch the website as per the agreed schedule. Any post-launch issues will be addressed within the terms of the support plan.
5. Revisions & Changes
5.1. Minor Revisions: Minor revisions, such as tweaks to content or small design changes, are typically included in the project scope. However, major revisions or changes not included in the original scope may incur additional costs. 5.2. Revision Limits: The number of revision rounds will be clearly defined in the project agreement.
6. Website Maintenance & Support
6.1. Post-Launch Support: Post-launch support and maintenance services will be provided as per the maintenance plan agreed upon in the contract. Regular updates, security patches, and performance monitoring may be offered at an additional cost. 6.2. Self-Managed Websites: If the client opts for a self-managed website, the client assumes responsibility for updates, security, and maintenance.
7. Ownership & Rights
7.1. Website Ownership: Upon full payment, the client will receive ownership of the website design, content, and any custom-developed code. However, any third-party tools or plugins used will remain the property of their respective owners. 7.2. Intellectual Property: The agency retains the right to showcase the completed project as part of its portfolio unless otherwise agreed upon.
8. Confidentiality
Both parties agree to maintain the confidentiality of any sensitive business information disclosed during the project. We will not share or use client data without prior consent.
9. Liability & Warranty
9.1. Performance Guarantee: While we aim to develop high-quality, functional websites, we cannot guarantee uninterrupted performance due to factors outside of our control (e.g., hosting, third-party plugins, or server issues). 9.2. Limited Liability: The agency’s liability is limited to the amount paid by the client for the project. We are not responsible for any direct, indirect, or consequential damages that may arise during or after the development process.
10. Termination of Services
10.1. Termination by Client: The client may terminate the project at any time, but any work completed to date will be invoiced based on the agreed milestones. 10.2. Termination by Agency: We reserve the right to terminate services if the client fails to meet payment obligations or violates any terms outlined in this agreement.
11. Governing Law
These terms and conditions are governed by the laws of India, and any disputes will be resolved in the jurisdiction of Jamshedpur, Jharkhand.
12. Amendments
The agency reserves the right to update or modify these terms and conditions at any time. Any changes will be communicated to clients.
